Club By Laws

THE CONSTITUTION AND BYLAWS OF THE SAINT CROIX VALLEY AMATEUR RADIO CLUB (SCVARC)

(hereinafter called “the club”)

Preamble:

We, the under-signed, wishing to secure for ourselves the pleasures and benefits of an association of persons commonly interested in Amateur Radio, constitute ourselves “The Saint Croix Valley Amateur Radio Club” (SCVARC) and enact this constitution as our governing law. It shall be our purpose to further the exchange of information and cooperation between members, to promote radio knowledge, fraternization and individual operating proficiency, and to conduct club programs and activities which advance the general interest and welfare of Amateur Radio in the community.

Article 1 - Membership

All persons interested in Amateur Radio communications shall be eligible for membership. Membership shall be by application and election upon such terms as the club shall provide in its Bylaws.

Article 2 - Officers

Section 1 – The officers of this club shall be:

President

Past President

Vice Presidents

Secretary

Treasurer

Assistant Treasurer

These officers will be known collectively as “The Board of Directors.” Any two of the members of the Board of Directors would have signing authority.

Section 2 – The officers of this club shall be elected for a term of one year by verbal balloting of a quorum of members at the annual meeting in January of each year.

Section 3 – Vacancies occurring between regular elections will be filled at the first regular meeting following the occurrence of the vacancy.

Section 4 – Removal of officers from office will require a three fourth vote of the membership.


Article 3 - Duties of Officers

Section 1 – President. Shall preside at all meetings of the club, and conduct the meetings according to the rules adopted. The President shall enforce due observance of this constitution and the Bylaws; decide all questions of order; sign all official documents adopted by the club, and perform all other duties pertaining to the office of President.

Section 2 – Past President. Shall provide assistance and advice to the incumbent president as requested or required.

Section 3 – Vice Presidents. Shall assume the duties of the President in his/her absence. The Vice Presidents will be responsible for the organization of activities such as contests, Field Day, and such activities and interests as may be approved by the membership. The Vice Presidents will also be responsible for maintaining a close relationship with local Emergency Coordinator to further Amateur Radio participation in organized Emergency Services systems.

Section 4 – Secretary. Shall record the proceedings of all meetings, keep current roll of membership information, read correspondence at each meeting, and notify members of regular and special meetings. At the conclusion of his/her term of office, the Secretary will turn over to his/her successor all information, data, and items belonging to the club.

Section 5 – Treasurer. Shall receive and provide a receipt for all moneys received by the club, keep an accurate account of income and disbursements of the club moneys, pay bills which have been authorized by the club or Board of Directors members, and present a current balance of the accounting to the membership at each regular meeting. At the end of his/her term, the Treasurer shall turn over full accounting of the finances and records to the successor. In the absence of the treasurer, the assistant treasurer shall assume the duties and responsibilities of the treasurer.


Article 4 - Meetings

The Bylaws shall provide for regular and special meetings.

At meetings, a minimum of one third of the membership shall be considered a quorum for the transaction of club business.


Article 5 - Dues

The amount of dues levied upon members of the club will be decided by majority vote of the membership at a regular meeting. At the discretion of the membership, non-payment of dues may be cause for the voiding of voting rights of a delinquent member.

Article 6 - Radio Frequency Interference and Public Relations

The club will designate members as a Public Relations and Operating Committee, who will provide advice to members concerning equipment design and to assist in frequency observance, clean signals, uniform practice, and the prevention of spurious radiation from club members stations. The club shall have a program to foster and guide public relations. The club shall be in contact with responsible government emergency organizations.


Article 7 - Amendments

Section 1 – This Constitution &/or Bylaws may be amended by two-thirds vote of the total membership. Proposals for amendments should be submitted in writing to a regular meeting and shall be voted upon at the next regular meeting, providing that all the members have been properly notified of the intent to amend the Constitution &/or Bylaws at that meeting.

Section 2 - Roberts Rules of Order shall govern the proceedings.


Bylaws of the SCVARC

1. Secretary

It shall be the duty of the Secretary to keep the Constitution and Bylaws of the club. A copy of each should be available at each meeting of the club. The Secretary shall note all amendments, changes to the Constitution and Bylaws, and make them available to the members on request.

2. Membership

Full Membership – is open to licensed amateurs. Full membership confers all club privileges, voting rights, and office holding rights.

Associate Membership – is open to those undertaking classes leading to Amateur Licensing and all other interested people. Associate membership confers all club privileges, less holding office or voting for officers or financial matters.

Honorary Life Membership – may be offered at the discretion of the Board of Directors. Honorary Membership carries the same rights and privileges as Full Membership.


3. Meetings

Regular meetings will be held on the third Sunday of each month unless members are otherwise notified. Special meetings may be called on the written request of any five members to the Board of Directors. Notices shall be sent to members concerning the special meeting and the business to be discussed. The members shall have at least 24 hours notice of such meeting. Only such business as designated shall be transacted.

4. – Dues

Dues are subject to change at annual meeting in January. Membership will expire on April 1 of each year for non-payment of dues. Upon payment of out-standing dues, membership will be automatically reinstated.

5. – Club response to declared emergencies.

During declared emergencies the authority of at least two members of the Board of Directors will be required before the utilization of club resources or expenditure of club funds.
